ADDITIONAL TERMS AND CONDITIONS FOR CONSULTING WORK

The work performed by RKD ENGG, LLC under a contract for a customer shall be subject to the following Terms and Conditions. These Terms and Conditions shall be a part of a contract or a purchase order to RKD ENGG, LLC, unless specifically excluded by a customer:

Scope: RKD ENGG, LLC shall provide advisory services to a customer under a contract or a purchase order. The services will relate to advising a customer on component design, materials selection, manufacturing process selection, materials optimization, manufacturing process optimization, root cause analysis for a material, process, or service-related failures, providing guidance on industry specifications and investments in a manufacturing process. Additional services, including those listed on this web site will be provided on an as-requested basis.

Compensation: The compensation shall be negotiated between RKD ENGG, LLC and a customer.

Warranty: All services provided by RKD ENGG, LLC to a customer under a contract, written or verbal, or a purchase order, shall be provided on a “best effort basis” using information available in public domain, textbooks, engineering publications, conference proceeding, online publications and information provided by a customer. NO EXPRESS OR IMPLIED WARRANTY IS MADE WITH RESPECT TO SERVICES PROVIDED BY RKD ENGG, LLC, INCLUDING WITHOUT LIMITATIONS ANY IMPLIED WARRANTY OR FITNESS FOR USE FOR A PARTICULAR PURPOSE. RKD ENGG, LLC DOES NOT WARRANTY THE RESULTS OF SERVICES.

Indemnification: By issuing a contract, written or verbal, a customer agrees to the following conditions. THE CUSTOMER HEREBY INDEMNIFIES AND AGREES TO HOLD HARMLESS RKD ENGG, LLC FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, AND ACTIONS, ANY LIABILITIES, DAMAGES, OR EXPENSES RESULTING THEREFROM, ARISING OUT OF OR RELATED TO SERVICES PERFORMED BY RKD ENGG, LLC. THE CUSTOMERS OBLIGATION SURVIVES TERMINATION OF A CONTRACT BETWEEN CUSTOMER AND RKD ENGG, LLC. THE CUSTOMER AGREES TO INDEMNIFY, DEFEND AND HOLD HARMLESS RKD ENGG, LLC AGAINST ANY AND ALL LOSS, LIABILITY, EXPENSES AND COSTS (INCLUDING ATTORNEY’S FEE, JUDGEMENTS, FINES AND AMOUNTS PAID IN SETTLEMENTS) ACTUALLY AND REASONABLY INCURRED BY RKD ENGG, LLC IN CONNECTION WITH ANY THREATENED, PENDING, COMPLETED OR FUTURE ACTION SUIT OR PROCEEDING TO WHICH RKD ENGG, LLC IS, OR THREATENED TO BE MADE PARTY ARISING OUT OF SERVICES PROVIDED TO THE CUSTOMER.

THE CUSTOMER IS SOLELY RESPONSIBLE FOR ANY DAMAGE OR LIABILITY, DIRECT OR CONSEQUENTIAL, ARISING OUT OF IMPLEMENTATION OF ADVICE OR SERVICE PROVIDED BY RKD ENGG, LLC.

THE CUSTOMER HEREBY INDEMNIFIES AND AGREES TO HOLD HARMLESS RKD ENGG, LLC FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, AND ACTIONS, ANY LIABILITIES, DAMAGES, OR EXPENSES RESULTING THEREFROM, ARISING OUT OF OR RELATED TO TRANSMITTAL OF INFORMATION BETWEEN THE CUSTOMER AND RKD ENGG, LLC VIA ELECTRONIC AND PHYSICAL MEANS. RKD ENGG, LLC SHALL MAKE GOOD FAILTH EFFORT TO GUARD INFORMATION SUPPLIED BY A CUSTOMER THROUGH ELECTRONIC AND PHYSICAL MEANS. RKD ENGG, LLC IS NOT RESPONSIBLE OR LIABLE FOR ANY DIRECT, CONSEQUENTIAL, INDIRECT, SPECIAL, INCIDENTAL DAMAGES (INCLUDING WITHOUT LIMITATION, DAMAGE TO EQUIPMENT, LOSS OF LIFE, INJURY, DAMAGE TO BUILDINGS, COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DAMAGE TO A WEB SITE, LOSS OF REVENUE, LOSS OF USER WEB SITE, LOSS OF DATA) ARISING FROM TRANSMITTAL OF INFORMATION BETWEEN THE CUSTOMER AND RKD ENGG, LLC.

 

SERVICES PERFORMED BY RKD ENGG, LLC. THE CUSTOMERS OBLIGATION SURVIVES TERMINATION OF A CONTRACT BETWEEN CUSTOMER AND RKD ENGG, LLC. THE CUSTOMER AGREES TO INDEMNIFY, DEFEND AND HOLD HARMLESS RKD ENGG, LLC AGAINST ANY AND ALL LOSS, LIABILITY, EXPENSES AND COSTS (INCLUDING ATTORNEY’S FEE, JUDGEMENTS, FINES AND AMOUNTS PAID IN SETTLEMENTS) ACTUALLY AND REASONABLY INCURRED BY RKD ENGG, LLC IN CONNECTION WITH ANY THREATENED, PENDING, COMPLETED OR FUTURE ACTION SUIT OR PROCEEDING TO WHICH RKD ENGG, LLC IS, OR THREATENED TO BE MADE PARTY ARISING OUT OF TRANSMITTAL OF INFORMATION.

Limitation of Damages: In no event RKD ENGG, LLC shall be liable for any incidental, indirect, special or consequential damages, regardless of nature of the claim. In no event RKD ENGG, LLC shall be responsible for damages in excess of fee received under a contract or purchase order, written or verbal.

Termination of Contract: A contract between RKD ENGG, LLC and the customer may be terminated by written notice by either party.

Services provided by RKD ENGG, LLC shall be governed by the laws of Commonwealth of Pennsylvania.
